Terms and Conditions – FirstBid365

These Terms and Conditions govern the use of FirstBid365.com and all services provided by FirstBid Tender Solutions. By accessing this website, submitting an inquiry, making any payment, or availing any service from FirstBid Tender Solutions, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.   • Department-specific procurement systems

Our services may include:

  • Tender opportunity identification
  • Tender alerts and tender discovery support
  • Eligibility review and bid feasibility analysis
  • Documentation assistance and compliance coordination
  • Technical and commercial bid preparation support
  • Bid submission coordination

All services are professional support services only and are subject to the specific scope mutually agreed with the client.

2. No Guarantee of Tender Award

Use of services provided by FirstBid Tender Solutions does not guarantee:

  • Tender qualification
  • Technical qualification
  • Financial qualification
  • L1 position
  • Work order issuance
  • Contract award
  • Empanelment approval
  • Vendor registration approval

Tender outcomes depend on several external factors including competition, pricing, tender authority evaluation, compliance requirements, and departmental decisions. FirstBid Tender Solutions does not control such decisions and therefore cannot guarantee success or award.

3. Client Responsibility

The client remains solely responsible for:

  • Accuracy and authenticity of documents submitted
  • Business information shared with us
  • Pricing decisions and commercial quote decisions
  • Compliance with tender terms and statutory requirements
  • Final review and approval before bid submission
  • Decisions relating to whether or not to participate in a tender

Our role is limited to professional assistance, coordination, and support. The final business and bidding decisions remain entirely with the client.

4. Scope of Service

The exact scope of service may vary depending on:

  • Type of service selected
  • Project requirement
  • Commercial plan selected
  • Nature of tender support requested

Unless expressly agreed in writing, our engagement shall not automatically include:

  • Physical document collection
  • Legal opinion
  • Financial guarantee arrangements
  • EMD funding
  • Product supply responsibility
  • Contract execution responsibility
  • Department liaison or influence

5. Information Accuracy

Tender information may be sourced from:

  • Public procurement portals
  • Government websites
  • E-tendering portals
  • Publicly accessible databases
  • Market-available procurement sources

While reasonable efforts are made to maintain accuracy, FirstBid Tender Solutions does not guarantee:

  • Real-time accuracy
  • Continuous availability
  • Completeness
  • Error-free publication

Users must independently verify all tender conditions, corrigenda, dates, technical specifications, and commercial terms before taking business decisions.

6. Fees and Payment Terms

All service charges, consultancy charges, support fees, subscription fees, execution charges, and project-based fees shall be payable as mutually agreed.

Unless expressly agreed otherwise:

  • Fees are charged for professional time, expertise, coordination, and service effort
  • Fees are not linked to guaranteed success or award
  • Payment timelines must be adhered to by the client
  • Delays in payment may affect service continuity

Payments made are treated as payment for professional services rendered or reserved service capacity.

7. Pay When You Win / Success-Based Commercial Plan

7.1 Meaning of Success

Success may include:

  • Tender award in favour of the client
  • Issue of work order
  • Issue of purchase order
  • Acceptance of bid leading to commercial award
  • Any formal written confirmation of award or successful selection
7.2 Success Fee Liability

Where a success-based plan is agreed, the client shall be liable to pay the agreed success fee immediately upon occurrence of success.

7.3 Non-Circumvention

If FirstBid Tender Solutions has assisted or supported a tender opportunity, the client shall not avoid agreed commercial obligations after award.

7.4 Disclosure Requirement

The client shall promptly inform FirstBid Tender Solutions of any award, selection, work order, purchase order, or success event.

7.5 Recovery Rights

In case of non-payment of agreed success fee after success, FirstBid Tender Solutions reserves the right to pursue lawful recovery remedies.

8. Execution Fee Adjustable Plan

Any amount paid towards consultation charges, support charges, advisory charges, or project handling charges may be adjusted against future execution fees only if expressly agreed in writing.

Adjustment shall not be treated as refundable cash liability.

9. Refund and Cancellation

Once service work has commenced, fees are generally non-refundable.

No refund shall apply for:

  • Tender non-award
  • Technical disqualification
  • Commercial non-competitiveness
  • Department cancellation
  • Client change of decision
  • Delay or non-cooperation from client side

10. Communication and Record Validity

Any communication through:

  • Email
  • WhatsApp
  • SMS
  • Phone discussion followed by confirmation
  • Written proposal
  • Commercial quotation

may be treated as valid business communication forming part of the service understanding.

11. Intellectual Property

All content, service structures, templates, checklists, documents, website material, formats, commercial models, and internal processes used by FirstBid Tender Solutions remain its exclusive intellectual property.

12. Limitation of Liability

FirstBid Tender Solutions shall not be liable for:

  • Tender rejection
  • Technical disqualification
  • Financial disqualification
  • L1 loss
  • Departmental cancellation
  • Portal downtime
  • Bid submission delays caused by third-party systems
  • Loss of business opportunity
  • Indirect or consequential commercial losses

Liability, if any, shall remain limited to the amount of professional fees actually received for the specific service.

13. Force Majeure

We shall not be liable for delay or inability to perform services due to circumstances beyond reasonable control including portal failures, internet disruptions, regulatory changes, natural events, labour disruptions, or technical failures of third-party systems.

14. Right to Refuse or Discontinue Service

FirstBid Tender Solutions reserves the right to refuse, suspend, or discontinue services where:

  • Required documents are not provided
  • Incorrect or misleading information is provided
  • Payment terms are not honoured
  • Client conduct is abusive or unlawful
  • Continuation of service becomes commercially unviable

15. Changes to Terms

FirstBid Tender Solutions reserves the right to revise or update these Terms and Conditions at any time without prior notice.

16. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of competent courts at Ahmedabad, Gujarat, India.
